American General Declares Victory: American General Corp., declaring victory in a proxy contest with Torchmenrk Corp., said that its slate of directors were re-elected to the company’s bord by a wide margin at its annual meeting earlier this month. Birmingham, Ala.-based Torchmark offered $50 a share of $6.4 billion for American General in March, but when the offer expired without a response, Torchmark withdrew it and announced plans to wage a proxy contest.
