Sale of Theseus Imaging to NASI Nears Completion

North American Scientific Inc., Chatsworth, said it plans to complete the acquisition of Theseus Imaging Corp. later this month.

The terms of the purchase have been renegotiated since the merger agreement was announced in October 1999. Theseus shareholders will receive up to 350,000 shares of NASI common stock in exchange for all of Theseus common stock. In addition NASI will assume all of Theseus obligations including $7.5 million advanced to Theseus by NASI for research and development.

NASI manufactures radiopharmaceuticals and devices for medical, therapeutic, diagnostic, environmental and research applications.
